Council will have to approve any Pate renewal

Mr. Mathis:

I realize that the city council may reconsider the amendment to the Pate Stevedore lease for Warehouse #5. However, did the City and Pate Stevedore execute a Memorandum of Renewal 120 days prior to the date of termination of the First Renewal Term as required by Sec 3 (a) of the
lease agreement? If not, does that mean the lease terminates in February 2009 if the amendment is not approved by the city council?

If a Memorandum of Renewal has been executed, could you please email me a copy of the signed agreement?

Mr. Outzen, this is in response to your inquiry concerning the Memorandum of Renewal. We did not execute the Memorandum in light of the Lease Amendment process. Both parties did execute letters of intent. Please find those attached. patelease

Mr. Wells:
Mr. Mathis has forwarded to me the letters of intent regarding the renewal of the original Pate lease. Does this mean the City is bound by these letters to renew the current lease for an additional five years? It looks like the letters missed the 120-day notification period. Does the City Council need to approve any lease renewals?

Paragraph 3(a) of the existing lease provides that the parties “may mutually agree to extend the term of this Lease …” and that “either party may elect not to renew this agreement for any or no reason.” Therefore, the City Council will need to approve an extension under this paragraph.
